Website Service Agreement
This is the agreement for an IonLabs website. It covers what we build, what we keep doing for you every month, what it costs, and what happens if either of us wants to stop. It is written to be read, not to be survived.

1. The short version
We build you a website at no upfront cost and look after it for $299 a month. That covers hosting, security, updates and five changes a month. You commit to twelve months; after that you are month to month and can stop whenever you like.
If you leave before the twelve months are up, the months you committed to and did not use are charged at a reduced rate of $125 a month instead of $299.
Your domain is yours. Your content is yours. Every enquiry and lead the site captures is yours, and we will export all of it whenever you ask. The website itself stays with us, because we built it and we host it.
This summary is here to be helpful. If it ever disagrees with the detail below, the detail wins.
2. Who this is between
This agreement is between IonLabs LLC ("IonLabs", "we", "us"), a Nevada limited liability company, and the business that accepts it ("you"). It starts on the day you complete your first payment, and continues until it is ended under one of the sections below.
3. What we build
We design, write and build a website for your business. That includes:
- The pages we agree on, written from a conversation with you rather than a form
- Your photographs, edited and placed. Phone photographs are fine
- A layout built for phones first, because that is where most of your customers are
- An enquiry form, click-to-call and click-to-text, routed wherever you tell us
- Visit and enquiry tracking connected to your IonLabs portal
We will show you the site on a private link before anything is public. One round of changes at that stage is included and is not an extra.
We aim to have a site live within about two weeks of receiving your content. That is an expectation, not a deadline, and it moves if we are waiting on you.
4. What the monthly fee covers
The monthly fee is for the work of keeping your site running well. It is not a payment plan and it does not buy the site. It covers:
- Hosting, and the cost of keeping the site online
- Security patching and software updates
- Backups
- Five changes a month (see section 5)
- Your IonLabs portal, where you can see visits and enquiries
- Support by email at hello@ionlabs.ai
Because this is ongoing work, the fee continues for as long as we look after the site.
5. Changes to your site
You get five changes a month, included. A change is a normal edit: new text, a new photograph, updated hours, a new offer, a new section. Describe it in plain words and we do it, or you can make it yourself in the portal editor and publish it instantly.
Unused changes do not roll over. If you need more, editor plans start at $49 a month for fifteen changes.
Work that is substantially a new site, a new brand, or a new set of features is a separate project, and we will quote it before starting.
6. What it costs, and when you pay
- Nothing to pay upfront. There is no build fee.
- $299 per month, charged to your card on file, in advance, on the same day each month.
- The first month is charged on the day the site goes live.
- Prices are in US dollars and exclude any tax that applies.
We may change the monthly fee with sixty days' written notice, and never during your first twelve months. If you do not want to continue at the new price, you may end this agreement before it takes effect, with no early termination fee.
7. Your twelve-month term
You are committing to twelve monthly payments, starting from the day the site goes live. That commitment is why there is nothing to pay upfront.
8. Leaving early
If you end this agreement during the first twelve months, the months remaining in the term are charged at a reduced rate of $125 a month instead of $299.

This is a reduced rate for the months you committed to and did not use — well under half the normal fee — not a penalty. Paying it closes the agreement. It does not transfer the website to you.
You authorise us to charge it to the card on file. We will tell you the amount in writing before we do, and we will not charge it if we ended the agreement ourselves, or if you left because we failed to put something right under section 16.
When the agreement ends, your site is taken offline. We will keep a copy for thirty days in case you change your mind.
9. After twelve months
You are month to month. There is no early termination fee and no notice period beyond your current month. Cancel by emailing hello@ionlabs.ai, and your service continues until the end of the month you have paid for.
10. Who owns what
Yours: your domain name, your business name and branding, the photographs and text you gave us, and anything you already owned before we started.
Ours: the website itself. The design, the layout, the code and the templates behind it remain the property of IonLabs. We licence it to you for use while this agreement is running. It is not transferred by paying the early termination fee, and it is not transferred at the end of the term.
If you want to own a site outright, tell us and we will price that as a separate purchase.
You keep the copy we wrote about your business, and you may use it elsewhere.
11. Your data, and getting it back
Every enquiry, lead, message and visitor statistic the site produces belongs to you. It always does, whatever the state of your account.
You can export it from your portal at any time. If you leave, ask us and we will send you a full export within seven days, including while any amount is in dispute. We will never hold your data to get paid.
12. What we need from you
- Your services, areas and hours, and photographs of real work
- A reply within a reasonable time when we are waiting on you
- The right to use everything you send us. If you give us a photograph, you are telling us you are allowed to
- Accurate claims. We will not publish a licence, guarantee or credential you do not hold
If we are waiting on you for more than thirty days before launch, we may start billing the monthly fee, because the work on our side is done.
13. If a payment fails
Cards expire, and this is usually nothing more than that. Here is what happens:
- The card is retried automatically, and you will see a notice in your portal with a link to update it
- After seven days unpaid, we will contact you directly
- After fourteen days unpaid, your site is replaced with a temporary holding page and any automations pause. Your portal and your data stay available
- After thirty days unpaid, we may treat the agreement as ended by you, and section 8 applies
Everything is restored as soon as payment goes through. We do not charge to put it back.
14. What we do not promise
We are good at this, and we are not going to pretend to control things we do not.
- We do not promise a position on Google, or any particular amount of traffic, enquiries or revenue. Anyone who does is guessing.
- We do not promise uninterrupted service. We aim for the site to be available at all times and we will act quickly when it is not, but hosting, networks and third parties occasionally fail.
- Services we rely on, such as hosting and analytics, have their own terms and their own outages.
Beyond what is written in this agreement, the service is provided as is.
15. If something goes wrong
If we are at fault, our total liability under this agreement is limited to the fees you paid us in the three months before the problem arose. Neither of us is liable to the other for indirect or consequential losses, including lost profit or lost business.
Nothing in this section limits liability for fraud, or for anything that cannot be limited by law.
16. Ending this for a reason
Either of us may end this agreement immediately if the other seriously breaks it and does not put it right within fourteen days of being told in writing.
If you end it that way, no early termination fee is payable and we will refund any part of the current month you have paid for but not received.
We may also end it if you ask us to publish something unlawful, misleading or which we reasonably believe would harm people. We will explain why.
17. Confidentiality
We will not share your business information, your customer data or your enquiries with anyone outside IonLabs, except the services we need to run your site, and except where the law requires it.
We may mention that you are a client and show your website as an example of our work. Tell us if you would rather we did not, and we will not.
18. Changes to this agreement
If we change these terms, the version you accepted continues to apply to you until your current term ends. We will give you thirty days' notice of any change and tell you what it is in plain words.
19. Law, disputes and the rest
- This agreement is governed by the laws of the State of Nevada, and the courts of Clark County, Nevada have jurisdiction.
- Before anyone goes to court, we both agree to speak on the telephone and genuinely try to sort it out.
- You may not transfer this agreement without our written agreement. We may transfer it if our business is sold, and we will tell you.
- If any part of this is found to be unenforceable, the rest still applies.
- This agreement sits alongside our general Terms of Service. It is an Order under section 3 of those Terms, so where the two differ — including on the term length and on cancellation — this agreement controls for your website.
- This agreement, and the checkout you completed, are the whole agreement between us about your website, and replace anything said beforehand.
- Neither of us is responsible for failures caused by events genuinely outside our control.
20. How you accept this
You accept this agreement by ticking the box at checkout and completing your first payment. Your acceptance is recorded with the date, the version of this agreement, and the payment it relates to. A copy is available in your portal at any time.
